Zendat Terms of Service

1. Who we are
Zendat is a sole proprietorship (eenmanszaak) established in the Netherlands.

2. Definitions
Zendat, we, us: the provider named in section 1.
The app: the Zendat app for Shopify, which sends electronic invoices and credit notes over the Peppol network for orders placed in a Shopify shop.
Merchant, you: the business that installs the app in its Shopify shop. The app is offered to businesses only, not to consumers.
Buyer: a customer of the merchant who places an order and gives a VAT number.
Access Point: the certified Peppol access point through which Zendat hands documents to the Peppol network. At the time of writing this is e-invoice.be, Belgium.
Document: an electronic invoice or credit note the app creates from an order or a refund and hands to the Access Point.
Shopify: Shopify International Limited, or the Shopify entity that contracts with the merchant, which runs the platform the app is installed on.
3. The service
3.1. The app builds an electronic invoice, in the Peppol BIS Billing 3.0 format (EN 16931), for an order in the merchant's shop for which a buyer has given a VAT number, has the Access Point check it against the Peppol rules, and, when the merchant sends it or has switched automatic sending on, hands it to the Access Point for delivery to the buyer's own access point over the Peppol network. For every refund of such an order the app creates a credit note in the same way, once the order's invoice has been delivered.
3.2. The buyer gives their VAT number in a block the merchant places on the shop's thank-you page and order status page. The app checks the number's format and, when the service is available, its validity with VIES, the European Commission's VAT information exchange system.
3.3. The app reads the order, the refund, the shop's details and the merchant's business entity from Shopify at the moment a document is built. The document names the merchant as supplier by the legal name and registered address of the merchant's primary business entity in Shopify, or, when Shopify offers none, by the shop's name and billing address; the app says on its settings page which of the two it would use.
3.4. The merchant's own VAT number and, if given, bank account number are entered by the merchant in the app and go on every document.
3.5. The app is provided as it is on the day it is used. We may change, extend or remove features. A change that removes a material part of the service will be announced in the app or by email at least 30 days before it takes effect.
3.6. Orders placed through a test payment gateway, or otherwise marked by Shopify as test orders, are never invoiced.
4. Installing and using the app
4.1. To use the app the merchant needs a Shopify shop, an installed copy of the app, and an account at the Access Point that Zendat sets up for the merchant (section 8). Until that account exists no document can be sent.
4.2. The merchant grants the app the access to its shop that Shopify asks for at installation: reading and writing orders, reading payment terms, and reading the buyer's name, email address and address on an order for the purpose of the invoice. The app never reads a buyer's phone number.
4.3. The merchant is responsible for everyone who uses the app under its Shopify account, and for keeping that account secure.
5. Fees
5.1. The app is billed through Shopify App Pricing. The price is shown on the plan selection page in Shopify before the merchant chooses a plan, and is, at the time of writing:
- Standard: USD 14 per month, including 25 invoices sent per billing month; USD 0.29 for every further invoice sent in that month.
- Credit notes are not counted and not charged.
- A 14-day free trial, during which at most 10 invoices can be sent. Trial days are counted by Shopify per merchant: a reinstall continues the trial where it was left, it does not restart it.
5.2. Charges are billed and collected by Shopify under the merchant's agreement with Shopify and appear on the merchant's Shopify bill. Zendat does not itself invoice the merchant for the app.
5.3. An invoice counts as sent, and is charged, when the Access Point has confirmed that it went out onto the Peppol network. An invoice the Access Point refused, one still waiting for that confirmation, or one that was held back by the app, is not charged. Whether the buyer's access point later accepted it does not change that.
5.4. Prices are in US dollars because Shopify App Pricing bills in US dollars. Shopify converts the charge to the merchant's billing currency at its own rate.
5.5. We may change the price with at least 30 days' notice through Shopify and in the app. Shopify asks the merchant to approve a changed price before it applies.
5.6. Refunds of fees are not given, except where the law requires it.
6. The merchant's responsibilities
6.1. The content of every document is the merchant's. The app builds documents from the data in the merchant's shop and from what the merchant and the buyer entered. The merchant is responsible for the correctness and completeness of that data, in particular:
- its own VAT number, bank account number and business entity;
- the products, prices, taxes and tax rates on its orders, and the tax settings of its shop;
- the buyer's VAT number, which the app checks for format and, where VIES answers, for validity, but which the merchant remains responsible for accepting;
- whether an order is one that should be invoiced over Peppol at all.
6.2. The merchant checks before sending. The app shows, before a document is sent by hand, who it goes to and what it says, and offers a check of any order against the Peppol rules at any time. Where the merchant switches automatic sending on, the merchant accepts that documents are sent for every paid order with a buyer's VAT number without anyone reading them first, and is responsible for the settings that make that happen.
6.3. Tax and legal compliance. Zendat is not a tax adviser, accountant or law firm. The merchant is responsible for whether its invoices meet the requirements of the tax law that applies to it, for invoice numbering, for archiving its invoices for the period the law requires, and for its obligations under Belgian or other electronic invoicing law. The app numbers invoices after the Shopify order number and credit notes after the order number and a sequence number; the merchant checks that this fits its own numbering obligations.
6.4. Archiving. Documents are held at the Access Point after they are sent (section 8.5). The merchant is responsible for keeping its own copy of every invoice and credit note for as long as the law requires, and can download the PDF of a document from the app while the app is installed.
6.5. The thank-you block. The merchant places the app's block on the thank-you page of its checkout, in Shopify's checkout editor. Without it no buyer can give a VAT number, and no order is invoiced. The app cannot see whether the block is placed.
6.6. The merchant uses the app only for its own shop and its own business, lawfully, and not to send documents that are false, misleading or not owed.
7. Sending, and what cannot be undone
7.1. A document handed to the Peppol network cannot be recalled, corrected or withdrawn. The app says so before every send and refuses to send the same document twice. Once the Access Point has accepted a document, neither the merchant nor Zendat can take it back. A wrong invoice is corrected the way the law provides for it, by a credit note and, where needed, a new invoice, which the merchant issues.
7.2. The app hands a document to the Access Point; the Access Point delivers it to the buyer's access point; the buyer's access point delivers it to the buyer. Zendat's part ends when the Access Point has accepted the document. The app records what the Access Point reports about delivery, and the merchant can ask the Access Point through the app where a document stands, but Zendat does not warrant delivery to, or receipt by, the buyer.
7.3. Where the buyer is not registered on the Peppol network the app does not send, and says so.
7.4. Automatic sending, when the merchant switches it on, looks at every paid order half an hour after it is paid, or as soon as a VAT number is saved on it, and sends an invoice when the order passes the app's checks. Orders without a VAT number are passed over. What became of every order is shown in the app. The merchant can switch automatic sending off at any time; that stops later orders, not a document already handed over.
8. The account at the Access Point, and the mandate
8.1. To send documents over Peppol the merchant needs an account at the Access Point and a registration of its Peppol identifier (its VAT number) on the Peppol network. Zendat sets both up for the merchant, in the merchant's name, when the merchant connects the app. Today Zendat sets the account up once the merchant has installed the app and asked for it at support@zendat.eu; a step in the app will replace that.
8.2. By connecting the app the merchant authorises Zendat, and through Zendat the Access Point, to:
- create and hold an account at the Access Point in the merchant's name;
- register the merchant's Peppol identifier with the Access Point as far as the Access Point requires that for sending documents; Zendat does not register the merchant to receive documents through the Access Point unless the merchant asks for it;
- send documents on the merchant's behalf, as the merchant's mandate holder, on the merchant's instruction given through the app;
- receive delivery reports about those documents.
8.3. A Peppol identifier can be registered with one access point at a time for the same document types. The merchant confirms that it is not registered with another access point for the documents the app sends, or that it wants that registration moved.
8.4. The Access Point may suspend an account under its own rules, for example after a period without traffic, which at the time of writing is 30 days. Zendat tells the merchant when its account is suspended and what is needed to restore it.
8.5. Documents sent through the account are held by the Access Point under its own rules: they stay there for as long as the merchant's account exists, and whether they can be deleted or exported is the Access Point's to say.
8.6. When the merchant uninstalls the app, Zendat revokes the app's key to the merchant's account at the Access Point. The account and its documents stay at the Access Point for the merchant. On the merchant's request within twelve months of uninstalling, Zendat hands the account over to the merchant or has it closed.
9. Availability
9.1. Zendat aims to keep the app available at all times but does not guarantee uninterrupted or error-free operation. The app depends on Shopify, on the Access Point, on the Peppol network, on VIES and on Zendat's hosting provider, none of which Zendat controls. When one of them is unavailable the app holds documents back rather than sending something uncertain, and tries again later; an order that could not be sent within the app's retry period is shown to the merchant to deal with.
9.2. Zendat may suspend the app for maintenance, security or to comply with the law, and will announce planned maintenance where it can.
9.3. Zendat may suspend or end the merchant's use of the app when the merchant breaks these terms, when Shopify or the Access Point suspends the merchant, or when the law requires it.
10. Liability
10.1. The app is a tool. Zendat is not a party to the merchant's contract with its buyers, does not issue invoices in its own name and is not the supplier on any document.
10.2. Zendat is not liable for damage that results from incorrect, incomplete or late data in the merchant's shop or entered by the merchant or a buyer; from a document the merchant sent, or had sent automatically, that it should not have sent; from the unavailability or conduct of Shopify, the Access Point, the Peppol network, VIES, the buyer's access point or Zendat's hosting provider; or from the merchant's tax, accounting or archiving obligations.
10.3. To the extent permitted by law Zendat is not liable for indirect or consequential damage, including lost profit, lost revenue, lost data, fines, tax assessments and claims by third parties.
10.4. Zendat's total liability towards the merchant for all claims in any period of twelve months is limited to the fees the merchant paid for the app in that period, or EUR 250 if that is more.
10.5. Nothing in these terms limits liability for intent or deliberate recklessness, or for anything that cannot be limited by law.
10.6. The merchant indemnifies Zendat against claims by buyers or authorities that arise from the content of the merchant's documents or from the merchant's use of the app in breach of these terms.
11. Personal data
11.1. How Zendat handles personal data is described in the Zendat Privacy Policy at https://zendat.eu/privacy/, which is part of these terms.
11.2. For the buyers' data the app processes to build documents, the merchant is the controller and Zendat is its processor under the GDPR. The data processing terms in Annex 1 to these terms apply; the merchant accepts them by installing the app.
12. Intellectual property
12.1. The app, its code, texts and design are Zendat's. The merchant gets a non-exclusive, non-transferable right to use the app for its own shop for as long as it is installed and paid for.
12.2. The documents the app creates belong to the merchant.
12.3. The merchant allows Zendat to read the data in its shop that the app needs for the service, and no more.
13. Term and ending
13.1. These terms apply from the moment the merchant installs the app until it uninstalls it.
13.2. Ending the agreement is done by uninstalling the app in Shopify. Shopify then stops billing at the end of the current billing period under its own rules. There is no notice period on the merchant's side.
13.3. On uninstalling: the app stops sending, cancels orders still waiting to be invoiced and switches automatic sending off. What happens to the merchant's data is described in the privacy policy: Shopify's access token is deleted at once, and forty-eight hours later, when Shopify tells the app the shop's data may be erased, the app erases everything about the shop except a minimal record per sent document (shop, order, document id, state and dates), which stops a reinstall from sending a second document for an order that already has one, and its own record of what it billed.
13.4. Documents already sent are not affected by uninstalling. The merchant downloads the PDFs it wants to keep before uninstalling; after that they can be had by asking support@zendat.eu within twelve months, or from the Access Point once the account is handed over (section 8.6).
13.5. Zendat may end the agreement with 30 days' notice, and without notice in the cases of section 9.3.
14. Changes to these terms
14.1. Zendat may change these terms. Changes are announced in the app or by email to the shop's contact address at least 30 days before they apply, except changes required by law or by Shopify, which apply when they must. A merchant who does not accept a change uninstalls the app before it applies.
15. Other
15.1. Where a provision of these terms is void or voidable, the rest stands, and the provision is replaced by one that comes closest to its purpose.
15.2. The merchant may not transfer its rights under these terms without Zendat's consent. Zendat may transfer the agreement to a successor of its business, and will announce it.
15.3. These terms are in English. A Dutch or French translation may be offered for convenience; the English text prevails.
16. Law and disputes
16.1. Dutch law applies to these terms and to every agreement with Zendat about the app. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16.2. Disputes are brought before the court competent for the district in which Zendat has its seat, in the Netherlands, unless mandatory law provides otherwise. Before going to court the parties try to settle the dispute between themselves within thirty days of one of them raising it in writing.
